By accessing or using ReplixPro ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms apply to all users, including visitors, registered users, and paying subscribers.
2. Nature of Service
ReplixPro is a software automation tool only. We provide a platform that enables you to automate WhatsApp messaging based on rules and parameters that you configure. It is important to understand:
- ReplixPro does NOT provide trading signals, financial advice, investment strategies, or any form of business consulting
- ReplixPro does NOT make decisions on your behalf regarding customer engagement, sales strategies, or business operations
- The Service is a tool that executes automated responses based entirely on rules and configurations set by you, the user
- We do not guarantee any specific business outcomes, increased sales, or customer engagement results
3. User Control and Responsibility
You are the driver. All automation actions executed by ReplixPro are based solely on parameters, rules, flows, and configurations set by you. You acknowledge and agree that:
- You have complete control over all auto-reply messages, flow triggers, and automation rules
- You are solely responsible for the content of all automated messages sent through the Service
- You must ensure your automation rules comply with all applicable laws and WhatsApp's Terms of Service
- You accept full responsibility for all activities conducted through your account and WhatsApp connection
- The consequences of any automated actions, including potential WhatsApp account restrictions, are your responsibility
4. Third-Party Dependencies
ReplixPro integrates with third-party services including WhatsApp and email providers (such as Brevo). You acknowledge that:
- WhatsApp, Meta, and other third-party platforms may modify, restrict, or discontinue their services at any time without notice
- We have no control over WhatsApp's policies regarding automated messaging or account enforcement
- Service interruptions, downtime, or functionality changes caused by WhatsApp, Brevo, or any other third-party provider are beyond our control
- We are not responsible for any losses, missed messages, or business impact resulting from third-party service disruptions
5. Subscription, Payments, and Refunds
ReplixPro offers the following plans:
- Free Plan: Limited features with usage caps (100 conversations, 500 contacts)
- Pro Plan: Full access to all features with unlimited usage at $9/month
The Pro Plan subscription fee is a software license fee that grants you access to premium features and unlimited usage of the ReplixPro platform. This fee covers:
- Access to the software and its features during your subscription period
- Server infrastructure and maintenance costs
- Ongoing platform updates and improvements
Refund Policy: Due to the nature of digital software licenses and the immediate access provided upon subscription, refunds are generally not provided. By subscribing, you acknowledge that you have access to a free plan to evaluate the Service before upgrading. Exceptions may be considered on a case-by-case basis for technical issues that prevent service delivery.
6. Limitation of Liability
To the maximum extent permitted by law, ReplixPro, its operators, and affiliates shall NOT be liable for:
- Any loss of profits, revenue, customers, or business opportunities
- Any damages resulting from automated messages you configured
- WhatsApp account bans, restrictions, or any actions taken by WhatsApp/Meta against your account
- Service interruptions or downtime caused by WhatsApp, Brevo, hosting providers, or any third-party services
- Any indirect, incidental, special, or consequential damages
- Data loss or corruption beyond our reasonable control
- Any outcomes resulting from your use or misuse of the automation features
Our total liability shall not exceed the amount paid by you for the Service in the past 3 months.
7. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- The Service will meet your specific business requirements
- WhatsApp connectivity will remain available or unchanged
- Any specific business results will be achieved through use of the Service
8. Account Security
You are responsible for maintaining the security of your account and WhatsApp connection. You should:
- Keep your login credentials confidential
- Not share access to your ReplixPro account
- Notify us immediately of any unauthorized access
- Regularly review your automation rules and connected sessions
9. Termination
We may terminate or suspend your account at any time for violations of these Terms or WhatsApp's Terms of Service. Upon termination, your right to use the Service immediately ceases. You may cancel your subscription at any time through your account settings or by contacting support.
10. Modifications to Service and Terms
We reserve the right to modify the Service or these Terms at any time. Significant changes will be communicated through email or in-app notifications. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation or binding arbitration.
